A foreigner can explore forming a company in Paraguay, but the structure and requirements depend on shareholders, the legal representative and the activity. Validate the business before choosing the legal form.
Incorporation is only one stage. Operating requires decisions about customers, contracts, registrations, invoicing, staff and banking. SUACE describes the simplified joint-stock company, or EAS, but not every activity or shareholder follows the same route.
Test the business case first
Define customers, offer, competition, setup costs and cash needed for the first months. Speak with prospective customers and suppliers before committing to permanent costs. Include lead times for permits, imports or staff where relevant.
- Specific activity and market.
- Startup budget and operating cash.
- Sector permits, suppliers and recruitment.
Choose structure and representatives
SUACE says EAS incorporation is handled online and explains electronic identity conditions for the legal representative. Its guidance covers foreign shareholders and representation under applicable conditions. Being a shareholder, managing the company and legally representing it are different roles. Review powers, apostilles and translations before filing.
- Who will own which shares.
- Who will sign and represent the company in Paraguay.
- Which foreign records and powers are required.
Plan real operations
Coordinate tax registration, invoicing, banking and applicable labour or municipal requirements. Incorporation, opening a bank account and obtaining operating permits may follow different calendars. If shareholders also move, review their personal residence and tax positions separately.
- Registrations and invoicing needed to sell.
- Banking, source of funds and accounting.
- People responsible for ongoing compliance.
